Serico Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("TERMS" OR "AGREEMENT") CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS, OBLIGATIONS, AND LIMITATIONS, INCLUDING LIMITATIONS OF LIABILITY AND DISPUTE RESOLUTION.

By accessing or using the Serico mobile application and related services ("Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you are under the age required in your country to form a binding contract (often 16 or 18), you must have your parent or legal guardian read and accept these Terms on your behalf. They are responsible for your use of the Services.

1. About Serico and Scope of Terms

Serico is operated by MJK APPS SRL (“MJK APPS”, “we”, “our”, or “us”), a limited liability company registered in Romania (trade registry no. J24/866/22.03.2019, unique registration code CUI RO40832934). Serico is a privacy-first safety app that provides event-based location sharing so you can stay connected with family, friends, or caregivers—without continuous tracking. These Terms apply to the Serico mobile application, our backend systems, and any related websites or support we provide.

By using the Services, you confirm that you can form a binding contract with us, that you comply with all applicable laws, and that you have read and accepted our Privacy Policy.

2. Use of the Services

2.1 Eligibility

The Services are for personal, non-commercial use by individuals. You may not use the Services on behalf of a business, organization, or entity unless we explicitly permit it. You must provide accurate information when creating your account and keep it updated.

If the law in your country requires a minimum age (e.g. 13, 16, or 18) to use the Services without parental consent, you must meet that age or have a parent or guardian accept these Terms for you.

2.2 Your Account

You need an account to use the Services. You are responsible for all activity that occurs under your account and for keeping your account secure (e.g. not sharing one-time codes). You must notify us promptly of any unauthorized use of your account. We are not liable for losses caused by unauthorized use of your account unless caused by our negligence or breach of these Terms.

You can manage your profile and preferences (e.g. display name, profile photo, notification settings) in the app under Settings.

We may suspend or terminate your access if you materially or repeatedly breach these Terms.

2.4 License to Use the Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services on a device you own or control, for your personal, non-commercial use, in accordance with these Terms and the features we make available. We may revoke this license at any time if you breach these Terms or if we discontinue the Services.

3. Service Availability and Termination

We may change, suspend, or discontinue the Services or any feature at any time, with or without notice, for example for maintenance, security, legal compliance, or if a third-party provider no longer supports something we rely on. We may also impose reasonable usage limits.

You may stop using the Services at any time by deleting your account (see Section 20 for how to contact us to request account deletion). We may suspend or terminate your access without notice if we reasonably believe you have breached these Terms, if your account has been inactive for an extended period, or if required by law or to protect the safety or rights of us or others. Where reasonable, we will try to give you advance notice before suspending or terminating your access.

4. Your Content and Interactions

"You Content" means any information, text, images, or other materials you submit, post, or make available through the Services (e.g. profile name, profile photo, Place names and addresses, messages in feedback). We do not claim ownership of Your Content; it remains yours. By using the Services, you grant us the license in Section 5 so we can operate the Services and show your content to the Nest members you choose to share with.

You are solely responsible for Your Content and for your interactions with other users. You represent and warrant that Your Content does not violate any law or third-party rights (including intellectual property or privacy). We may remove any content that we reasonably believe violates these Terms or is harmful, without liability to you.

We are not responsible for the conduct of other users. Disputes between you and other users are between you and them; we have no obligation to mediate, though we may do so at our discretion.

5. License You Grant to Us

To operate the Services (e.g. storing and displaying your profile, locations, and events to your Nest members, improving the app), you grant us a non-exclusive, royalty-free, worldwide, sublicensable license to use, store, process, display, and transmit Your Content as necessary to provide and improve the Services and as described in our Privacy Policy. This license survives until you delete Your Content or your account, except we may retain copies as needed for legal or safety reasons or in anonymized form.

6. Mobile App and Stores

If you download the Serico app from the Apple App Store or Google Play (or another app store), you acknowledge that:

You may not reverse engineer, decompile, or disassemble the app except where expressly permitted by law. You may not rent, lease, lend, sell, or sublicense the app.

7. Communications

We may send you service-related communications (e.g. account notifications, security alerts, changes to the Services or these Terms) by push notification, in-app message, or email if you have provided one. You may be able to opt out of some push notifications in your device or app settings; note that disabling notifications may mean you miss important alerts (e.g. SOS or live sharing requests).

Where required by law, we will obtain your consent before sending marketing communications. You can opt out of marketing at any time using the instructions in those messages.

8. Our Intellectual Property

The Services (including the app, design, text, graphics, logos, and other content we provide, but excluding Your Content) are owned by us or our licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works from the Services or our branding without our prior written permission. Any feedback or ideas you submit may be used by us without compensation or attribution.

9. Features of the Services

The Services include features such as: Nests for sharing with selected people; Places with geofence-based "arrived" and "left" events; check-ins; time-limited live location sharing; SOS alerts; and maps. Availability of features may depend on your device, location, permissions, and the version of the app. We do not guarantee that any feature will be available at all times, error-free, or accurate (e.g. location or geofence triggers may be delayed or inaccurate). Use of the Services is at your own risk.

Pricing. The Services are currently offered free of charge. We may introduce paid features or subscriptions in the future. If we do, we will notify you and you may need to accept additional terms or payment terms before using paid features.

10. No Professional or Emergency Advice

The Services are for convenience and peace of mind only. They do not provide emergency services, medical advice, or legal advice. The SOS feature notifies your Nest members; it does not replace calling emergency services (e.g. 112, 911). In an emergency, always contact the appropriate emergency services in your country. We are not responsible for any delay, failure, or inaccuracy in location or notifications.

11. Privacy

Your privacy matters to us. Our collection, use, and disclosure of your information are described in our Privacy Policy. By using the Services, you consent to those practices. Please read the Privacy Policy carefully.

12. Security

We use reasonable measures to protect your information and the security of the Services. We cannot guarantee that unauthorized third parties will never defeat our security measures. You provide your information at your own risk. You are responsible for keeping your device and account secure.

13. Third-Party Links and Services

The Services may contain links to third-party websites or services (e.g. maps, support pages). We do not control and are not responsible for those third parties or their content, privacy practices, or terms. Your use of third-party services is at your own risk. Our Terms and Privacy Policy do not apply to third-party sites or services.

14. Indemnity

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Serico and our affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms or any law; (c) Your Content or your conduct; or (d) any claim that your use of the Services or Your Content infringes or violates a third party’s rights. This section does not apply in jurisdictions where such indemnity is not permitted (e.g. certain consumer protections in the UK, EU, or EEA).

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT LOCATION OR OTHER DATA WILL BE ACCURATE OR TIMELY. YOU USE THE SERVICES AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties; in such cases, the above exclusions apply only to the extent permitted by law.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

We are not liable for the conduct of other users, for any delay or failure in location or notifications, or for any loss or damage resulting from unauthorized access to your account or our systems, except to the extent caused by our gross negligence or breach of these Terms.

Your statutory rights as a consumer (if any) remain unaffected where applicable.

We may update these Terms from time to time (e.g. to reflect new features, legal requirements, or practices). We will post the updated Terms in the app or on our website and update the "Last updated" date. If changes are material, we may notify you by in-app message or email where required by law. Your continued use of the Services after the effective date of changes constitutes acceptance of the new Terms. If you do not agree, you must stop using the Services and may request account deletion.
